OpenAI owns ChatGPT, but who owns OpenAI? subh_naskar / Shutterstock

If you're wondering who owns ChatGPT, the short answer is OpenAI — not Microsoft or any individual founder. OpenAI introduced ChatGPT to the public on November 30, 2022.

The longer answer involves an unusual ownership structure. Investors can own a financial stake without holding the steering wheel, a distinction that matters when following the money behind this artificial intelligence business.

How OpenAI's Founders Built the Organization

OpenAI began in December 2015 as a nonprofit artificial intelligence research organization. The OpenAI founders included Sam Altman, Elon Musk, Greg Brockman and Ilya Sutskever. Being a founder doesn't automatically mean owning the organization's products.

Musk departed its board of directors in February 2018. In 2019, OpenAI created a for-profit subsidiary to attract capital while keeping nonprofit control. Its capped-profit model limited investor returns: a compromise intended to fund expensive research without handing investors unrestricted financial upside.

How the OpenAI Foundation Controls the Business

In October 2025, OpenAI announced a recapitalization — a reworking of its financial and ownership arrangements. Through this corporate restructuring, its commercial operation became OpenAI Group PBC and its nonprofit became the OpenAI Foundation.

The nonprofit parent organization retained special rights to appoint and remove the commercial company's directors. That's the key to its corporate governance, meaning the rules determining who makes decisions. Equity ownership measures financial stakes; the Foundation's controlling interest rests on governance rights, not simply the largest pile of shares.

PBC stands for public benefit corporation. It's a for-profit legal entity whose directors must balance shareholders' financial interests with a stated public benefit and the interests of people materially affected by the business. OpenAI Group PBC remains a privately held company, not a stock anyone can buy on a public exchange.

Where Microsoft Fits Into OpenAI

The Microsoft investment in OpenAI began with a $1 billion commitment announced in July 2019. In January 2023, Microsoft announced a multiyear, multibillion-dollar expansion of their strategic partnership. Microsoft Azure supplied cloud computing infrastructure, and Microsoft incorporated OpenAI technology into Bing that year. But partnership isn't outright ownership. Following the October 2025 recapitalization, Microsoft remained a minority shareholder in OpenAI Group PBC. Technology licensing lets Microsoft use specified OpenAI technology; it doesn't make Microsoft the owner of ChatGPT.

How OpenAI Raises Money and Earns Revenue

OpenAI investors also include SoftBank and Thrive Capital. Venture capital funding and other investments arrive through funding rounds, which can establish a company valuation. That estimated worth isn't the same as revenue, profit or cash in the bank.

The OpenAI business model includes ChatGPT subscriptions, business services and access to the OpenAI API, which lets developers connect software to its models. OpenAI introduced ChatGPT Plus in February 2023 and launched ChatGPT Enterprise in August 2023. Customers pay for access and services, not ownership of ChatGPT itself. Intellectual property rights and permitted uses depend on the applicable contracts.
